1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and Outerank, LLC, a Delaware limited liability company ("Outerank", "we", "us"). By creating an account, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you're agreeing on behalf of a company, you confirm you're authorized to bind it.
Using Outerank means you agree to these rules. If you're signing up for your employer, make sure you're allowed to.
2. Definitions
- Service — the Outerank platform, its modules (audits, keyword research, rank tracking, backlinks, content generation, AI-search visibility, the Brain strategist, and others), website, and APIs.
- Credits — the units used to run premium AI and data actions. Core tools are unlimited; credits are spent only on metered actions (see §5).
- Your Content — anything you input, upload, connect, or generate through the Service, including articles and fixes produced by our AI on your instruction.
- AI Output — text, recommendations, code fixes, and analyses produced by the Service's AI features.
3. What the Service is
Outerank is an autonomous SEO platform that audits your site, researches keywords, tracks rankings, builds and monitors backlinks, writes content, and measures your visibility in both traditional search and AI answer engines (ChatGPT, Google's Gemini/AI Overviews, Perplexity, Claude, and Grok). We provide the tools and intelligence; you decide what to publish and how to use them.
We continuously improve the Service and may add, change, or remove features. We'll give reasonable notice of material changes that reduce core functionality of a paid plan.
We give you the SEO tools and the AI that does the work. You stay in control of what actually goes live on your site. We'll keep improving things, and warn you before removing anything important you pay for.
4. Your account
You must provide accurate information, keep your login secure, and are responsible for activity under your account. Tell us promptly at support@outerank.com if you suspect unauthorized access. You must be at least 18 and legally able to enter a contract. One person may not share a single seat to circumvent plan limits; team and client seats are provided per your plan.
Keep your password safe, your details accurate, and don't share one login to dodge seat limits. Tell us fast if something looks hacked.
5. Plans, credits & billing
Plans. The Service is offered on tiered plans (including a free tier). Each plan includes unlimited use of core tools plus a monthly allotment of Credits for premium AI and data actions. Current plans, prices, and Credit allotments are shown on our Pricing page, which forms part of these Terms.
Credits. Credits are consumed only by metered actions (for example, generating an article, pulling live keyword data, or running AI-visibility checks). Unused monthly Credits expire at the end of each billing cycle and do not roll over. Purchased top-up Credits do not expire while your account is active. Credits have no cash value and are non-transferable.
Billing & renewal. Paid plans are billed in advance, monthly or annually, and automatically renew at the then-current price until cancelled. You authorize us and our payment processor (Stripe) to charge your payment method each period. The price and billing frequency are shown clearly before you confirm payment, and we email a receipt for every charge. We never see or store your full card details. You can cancel future renewals any time before the renewal date from your account settings.
Free plan & trials. The Free plan is free forever and requires no payment method. Paid plans may start with a 7-day trial; when a trial ends, the account reverts to the free plan until you choose to upgrade — no automatic charge, no surprise billing.
Taxes. Prices exclude taxes; you're responsible for any applicable VAT or sales tax, which may be added at checkout.
Core tools are unlimited. Credits are only for the expensive AI actions, and they reset each month. Paid plans renew automatically — cancel anytime before the next charge and you won't be billed again.
6. Acceptable use
You agree not to:
- use the Service unlawfully, or to create spam, malware, deceptive, or infringing content;
- resell, sublicense, or provide the Service's raw data to third parties outside your own end-clients served through the Service;
- scrape, reverse-engineer, or circumvent rate limits, seat limits, or Credit metering;
- use AI Output to impersonate a person or organization, or to generate content you present as independently authored where the law requires disclosure;
- send unsolicited bulk email ("spam") — our outreach feature is for individualized, opt-in outreach only;
- overload or interfere with the Service, attack other websites using our infrastructure, or attempt to access data that isn't yours.
We may suspend or terminate accounts that breach this section, with notice where practicable.
Don't use Outerank for spam, scams, or anything illegal, don't resell our raw data, and don't try to cheat the limits. Break these and we can pause or close the account.
7. AI-generated content — who owns it and who's responsible
You own your output. As between you and Outerank, you own the articles, fixes, and other AI Output generated for you through the Service, and may use them commercially. We claim no ownership of Your Content.
You're responsible for what you publish. AI Output can be inaccurate, outdated, or unintentionally similar to existing material. You are responsible for reviewing, fact-checking, and ensuring anything you publish is accurate, lawful, non-infringing, and compliant with any disclosure rules in your jurisdiction.
Similar outputs. Because AI produces comparable results for comparable prompts, other customers may receive similar Output. We don't guarantee AI Output is unique.
The articles and fixes Outerank writes for you are yours to publish and profit from. But AI can be wrong — read it before you publish, and you're accountable for what goes live. Two people with similar requests might get similar results.
8. Your data & privacy
Our Privacy Policy explains what we collect and why. When you connect a third-party account (such as Google Search Console), you authorize us to access that data solely to provide the Service. We use trusted third-party providers to deliver data and AI features; the current list of sub-processors is in our Sub-processors page. You retain full ownership of your websites, keywords, content, and reports. We never sell your data, and we never train external AI models on your private project data. You can export or permanently delete your data at any time from Settings → Account.
Your data is used to run Outerank for you. Connecting Google Search Console just lets us read your search data to do our job. We never sell it or train outside AI on your private projects — and you can export or delete everything anytime.
9. Anonymous product insights & your opt-out
To improve accuracy for everyone, we may add anonymous, aggregated signals derived from public metrics (such as keyword difficulty by industry, or how often certain content ranks) to an internal intelligence dataset. This dataset never contains your identity, your account, your private content, or anything that identifies you or your projects, and individual data points are only used once they reflect a minimum cohort of independent sources. You can opt out of contributing at any time in your account settings, and opting out never reduces the features available to you.
Outerank gets smarter as more people use it — we learn patterns like "this kind of keyword tends to win in this industry." We only use anonymous, public-style facts, never your identity or private data. Don't want to contribute? Flip one switch — you lose nothing.
10. No guarantee of rankings or results
SEO and AI-search outcomes depend on factors outside our control — search-engine algorithms, competitors, and your own execution. We provide tools, data, and recommendations in good faith, but we do not guarantee any specific ranking, traffic, revenue, or AI-citation result. Third-party data (search volumes, difficulty, backlinks) is provided "as available" and may contain estimates or errors.
We can massively improve your odds, but nobody can promise a #1 ranking — Google decides that, not us. Data figures are the best available, not perfect truth.
11. Intellectual property
Outerank owns the Service — its software, models, design, brand, audit-scoring algorithms, AI-fix templates, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You own Your Content (§7). You grant us a limited licence to host, process, and display Your Content solely to provide and improve the Service.
The platform is ours; your content is yours. You get to use Outerank; we get permission to run your content through it so the product works.
12. Cancellation, refunds & termination
Cancel anytime. You can cancel from Settings → Billing (or by emailing support@outerank.com); cancellation stops future renewals and takes effect at the end of the current billing period. You keep access until then, and may keep a free account.
Failed AI actions. If a metered AI action fails to produce a usable result, the Credits for that action are automatically refunded to your balance — you are not charged for work you didn't receive.
Subscription refunds. Except where required by law, subscription fees are non-refundable once a billing period begins, other than our 7-day money-back guarantee on your first paid subscription. Full details are in our Refund & Cancellation Policy.
Termination by us. We may suspend or terminate for breach, non-payment, or legal risk, with notice where practicable. On termination you may export Your Content for 30 days.
Cancel in one click — no traps. If an AI action flops, you automatically get the credits back. Subscription fees generally aren't refundable mid-period, except our 7-day money-back guarantee on your first payment. If we ever have to close your account, you get 30 days to export your work.
13. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or that data or AI Output will be accurate or complete.
We work hard to keep Outerank reliable and accurate, but we can't legally promise perfection or zero downtime. Use your judgment on the output.
14. Limitation of liability
To the maximum extent permitted by law, Outerank will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service is limited to the greater of US $100 or the amount you paid us in the twelve (12) months before the event giving rise to the claim.
If something goes wrong, our financial responsibility is capped — roughly what you recently paid us — and we're not liable for knock-on losses like missed profits. (Standard for software.)
15. Indemnification
You agree to defend and indemnify Outerank against claims and losses arising from Your Content, your use of the Service, your publication of AI Output, or your breach of these Terms — including claims that content you published infringes someone's rights or violates law.
If you publish something through Outerank that gets you (and us) sued — for example, content that copies someone else's work — that's on you, and you'll cover us for it.
16. Changes to these terms
We may update these Terms. If a change is material, we'll notify you (by email or in-product) at least 14 days before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms. The "Version" and "Last updated" date at the top always reflect the current version.
If we change something important, we'll tell you first — we won't move the goalposts silently.
17. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You agree that any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. Nothing here limits rights you have under mandatory consumer-protection laws in your country of residence.
Delaware law applies and disputes are settled there. Your local consumer rights still stand.
